BOARD OF DIRECTORS

Eminence Capital is committed to good governance, ethical conduct and transparency and operating in the interest of all its stakeholders. Our Board of Directors shall be a team of seasoned professionals who are highly skilful in their respective field of expertise. Our Board shall exercise its business judgment to act on what it reasonably believes to be in the best interest of the Company and its shareholders. 

 

Our Board members shall possess the following qualifications: integrity, time available to perform the responsibilities necessary, the ability to critically and strategically assess challenges and opportunities presented to the Company, and a willingness to understand and commit to the highest standards of ethics.  

  • Our Board shall be laser-beam focused in our origination efforts to grow the Company. We shall push together like a rugby scrum to achieve our expansion goals in legal, moral and ethical ways.


  • Our Board of Directors shall be responsible for setting ambitious objectives, directing our strategy, and managing our overall interests for shareholders, employees, customers and suppliers. 


  • We believe that maintaining the highest standards of governance is integral to our business. 


  • To do this, we define clear roles and responsibilities, an unequivocal commitment to ethical conduct and effective processes for managing risk and compliance. 


  • Our board of directors shall regularly review our activities to ensure full compliance, best business practices, and complete transparency in all that we do.


 Please note that responsibility for day-to-day operations of the business falls to the Management Team, subject to oversight from the Board.

OPEN POSITION - CHAIRMAN

Our Chairman will be providing strategic leadership, advice and shall set high governance standards as part of a dynamic Board of Directors in the childcare industry. 

The Chairman shall have exemplary skills in chairing meetings and facilitating discussions within the Board and with external partners. The role is a part-time role, initially for 3 to 4 hours per month and gradually increasing once originating efforts have started. 


Ideal profile:

  • Retired ex-Bank CEO or COO or C-level executive of a major blue chip or Fortune 1000 company with a cumulative track record of 30+ years in business.
  • Has held or is currently holding the position of Chairman or director in other company boards. 
  • Should have no conflict. 
  • Has closed multiple mergers & acquisitions (including hostile takeovers) and divestiture and has closed large deals, IPOs cumulatively in the order of 100M+ or billions of dollars.
  • Is a hungry closer of deals.
  • Possess a strong record of making value-enhancing strategic decisions on behalf of shareholders.
  • Familiarity in the healthcare and/or childcare industry is desirable but is not a requirement.
  • Should not have anything in their background that would preclude Eminence Capital from obtaining financing.
  • Should maintain a current and satisfactory police check.  
  • Availability. This Chairmanship is a part-time position.  Availability will depend on the stages of origination & closing as well as meetings schedule.
  • This is a non-executive position.

OPEN POSITION - DIRECTOR WITH ACCOUNTING BACKGROUND

 Eminence Capital is actively looking for a retired or semi-retired partner of a major accounting firm to form part of our "Dream Team" Board of Directors.


Ideal Profile

  • Retired ex-partner or ex-senior partner or ex-managing partner of Big 6 accounting firm.
  • +30 years of experience in accounting with involvement to all aspects of mergers and acquisitions.
  • Cumulative transitions history in the order of 100M+ or billions of dollars.
  • Background in business advisory and auditing preferred, although not mandatory.
  • Should have no conflict. 
  • Should think of out of the box, be very entrepreneurial and be an avid closer of deals.
  • Advice & recommendations to the Board during accounting due-diligence process, amongst others.
  • Should not have anything in your background that would preclude Eminence Capital from getting financing.
  • Should maintain a current and satisfactory police check.  
  • Should attend in-person Board meetings as well as certain meetings with external accounting advisors, bankers...etc...
  • Availability. This Directorship is a part-time position.  Availability will depend on the stages of origination & closing as well as meetings schedule.
  • This is a non-executive position.

  • +30 years of experience in law with involvement in transactions.
  • Cumulative transitions history in the order of 100M+ or billions of dollars.
  • Should have no conflict. 
  • Should not have anything in your background that would preclude Eminence Capital from getting financing.
  • Should look at ways to close deals and participate in the company expansion. 
  • Advice to the Board and Management during legal due-diligence process, amongst others.
  • Should maintain a current and satisfactory police check.  
  • Should attend in-person Board meetings as well as certain meetings with external legal advisors, bankers...etc...
  • Availability. This Directorship is a part-time position.  Availability will depend on the stages of origination & closing as well as meetings schedule.
  • This is a non-executive position.

OPEN POSITION - 2* childcare industry experts

Eminence Capital is actively looking for two (2) childcare industry experts who shall provide advice on all aspects of the operations of centres and on potential acquisitions. 


Ideal profile:

Our expert would each have extensive experience (+30 years) in the childcare industry and have intimate knowledge of the following:

  • Licensing requirements & meeting ACECQA compliance. 
  • Understanding of all Health and Safety aspects of running a childcare business. 
  • Development of curriculum and program that meet state and federal requirements and parent’s expectations.
  • Experience in staff hiring and training.
  • Management of facilities, including checking that safety equipment is available and working as well as hazards identification and removal. 
  • Experience in budget creation and management.
  • Marketing strategy to promote awareness of the center and its services in the community.  
  • Should have no conflict. 
  • Should not have anything in your background that would preclude Eminence Capital from getting financing.
  • Should maintain a current and satisfactory police check. 
  • Availability. This Directorship is a part-time position.  Availability will depend on the stages of origination & closing as well as meetings schedule.
  • This is a non-executive position.

FOUNDER'S PROFILE - VIRAJ SOBARUN

Career

Viraj has started his career at Accenture Mauritius, before moving to Ericsson.  Viraj formed part of teams that deployed telecoms services across Madagascar, Congo Brazzaville and Botswana. These projects have helped raise their standard of living.


In Australia, Viraj has delivered multiple innovative railway infrastructure projects, as a client interface to major corporations namely Rio Tinto and TfNSW. He was one of the project engineers in the AutoHaul® project that commissioned the first driverless heavy-haul train in the world. Viraj chairs several client meetings.


Health and Safety Culture

Viraj has been educated in Health and Safety after joining the mining railway industry 12 years ago in WA.  Viraj endeavours to impart this safety culture to others too and he understands the vital role that HSE plays in the childcare industry.


Volunteering in Perth

Viraj has served as membership manager and treasurer of the Rotary Club of Crawley. He initiated the collection of blankets for the victims of Perth Hills bushfire in 2014.  Viraj has collected clothing items for low-income women. Viraj volunteered at the Perth Arena to welcome to families with children with autism.


Founder of Eminence Capital

Viraj has founded Eminence Capital to be a consolidator and dominant player in the childcare industry in Australia.  Viraj is currently recruiting the Board of Directors and spreadhead the origination effort as the Head of Mergers and Acquisitions.  In this role, he will

 

  • Lead the recruitment of the external accounting and legal advisors.
  • Consult with the Board of Directors and external advisors on all aspects of origination, due diligence, closing, integration and divestitures.
  • Develop and execute the strategy for merger & acquisitions to drive the expansion effort.
  • Oversee due diligence, negotiations, closing and integration.


Viraj has a Bachelor of Engineering from the University of Mauritius and a Master of Science in Electrical Engineering from the Illinois Institute of Technology, Chicago, USA.
